I. THE AGREEMENT These Terms and Conditions constitute the agreement (the “Agreement”) between Global Network Solutions, LLC (“GNS”, us or
we) and the Customer (“you”, “your” or “user”) of GNS’s business communications consulting, services and any related products or services
(“Service”) listed under “SERVICES” above or on the signed proposal, estimate or invoice listing billable services provided by GNS.  GNS Equipment,
Device or Devices means equipment provided by GNS or rented from GNS to facilitate, support, monitor, secure or maintain Services.  Customer
Equipment, Device or Devices means equipment owed by you or purchased from GNS.  BY ENROLLING  IN, USING, OR PAYING FOR THE GNS
SERVICES, YOU AGREE TO THE PRICES, CHARGES, TERMS AND CONDITIONS IN THIS AGREEMENT AND ASSOCIATED DOCUMENT(S). IF YOU
DO NOT AGREE TO THESE PRICES, CHARGES, TERMS AND CONDITIONS, DO NOT USE THE SERVICES, AND CANCEL THE SERVICES
IMMEDIATELY BY CALLING GNS AT THE PHONE NUMBER ON THE FIRST PAGE OF YOUR INVOICE FOR FURTHER DIRECTIONS.  The Agreement
governs the Service and any devices used in conjunction with the Service.  Any Service or Equipment added during or after the term of this
Agreement are incorporated as part of this Agreement and all terms and conditions apply. By activating the Service, you acknowledge that you have
read and understand, and you agree to, the terms and conditions of the Agreement.  GNS may change the Terms and Conditions of the Agreement
from time-to-time.  Notices will be considered given and effective on the date posted at www.gnsinc.net/terms_conditions.  The Agreement posted
supersedes all previously agreed to Terms and Conditions.  

II. EMERGENCY CALLING SERVICE  A. 911 or E911 Dialing Services:  The telephone calling portion of your Service is provided via VoIP, a flexible
and movable phone service.  Therefore, traditional stationary analog 911 or E911 access to emergency services is not supported.  GNS’s system is
configured in most instances to send the specific phone number for your location to the Public Safety Answering Point (PSAP).  You are required to
provide GNS with the address you want designated to each telephone number included in your GNS Service for such emergency calling service, if
applicable.  Upon your providing such designated addresses, GNS will provide such designated addresses to the PSAP.  There are various
differences between analog 911 or E911 and your VoIP provided emergency services, including but not limited to, those set forth in items B through I
below.   B. Service Outage:    1. Power Outage   You acknowledge and understand that Emergency Calling Service dialing does not function without
power. A power failure or disruption may require you to reset or reconfigure Devices before using the Service which includes the Emergency Calling
Service.  2. Broadband Service Outage   You acknowledge and understand that service outages by your broadband provider will prevent, and that
network congestion may slow, ALL Service including Emergency Calling Service dialing.  3. Service Outage Due to Suspension of Your Account   You
acknowledge and understand that service outages due to suspension of your account as a result of billing issues will prevent ALL Service dialing.  
Such outages may occur for a variety of reasons, including but not limited to those reasons described elsewhere in this Agreement.   4. Limitations of
Liability and Indemnification   You acknowledge and understand that GNS’s liability is limited for any Service outage and/or inability to place a 911 call
from your GNS line or to access emergency service personnel, as set forth or the Service, from any and all claims, losses, damages, fines, penalties,
costs and expenses (including, without limitation, reasonable attorneys fees) by, or on behalf of, Customer or any third party or user of Customer’s
Service relating to the absence, failure outage of the Service, including Emergency Calling Service dialing and/or inability of Customer or any third
person or party or user of Customer’s Service to be able to dial 911 or to access emergency service personnel.  C. Failure to Designate the Correct
Physical Address for Emergency Calling Service Dialing: The address which the Customer provided to GNS is the address that is applied to your
Service for Emergency Calling Service dialing. Should you need to change this address, contact GNS Customer Service immediately to correct this
address. It may take up to ten business days to change an address or update an address.  Failure to provide the current and correct physical
address and location of your GNS equipment will result in any Emergency Calling Service communication you may make being routed to the wrong
local emergency service provider and/or address.  D. Changing Your Primary Phone Number You acknowledge and understand that if you change
your primary VoIP phone number you will not be able to change your Emergency Calling Service address for ten (10) business days. During that
time, any Emergency Calling Service calls that you may make will be routed using the address that was in GNS’s records before you changed your
phone number.  E. Change of Physical Location of GNS Equipment: You acknowledge and understand that Emergency Calling Service dialing will not
function properly or may not function at all if you move or change the physical address of your GNS equipment to a different street address, unless
and until your have successfully changed your Emergency Calling Service address by contacting GNS Customer Service.  Failure to provide the
current and correct physical address and location of your GNS equipment will result in any Emergency Calling Service dialing you may make being
routed to the incorrect local emergency service provider or the wrong address. F. Requires Re-Activation if You Move: You acknowledge and
understand that if you move your phone service to a different address, other than that established when your GNS Service was activated, your
service will need to be re-activated in order for Services, including Emergency Calling Service, to function or function properly.  G. Possibility of
Network Congestion and/or Reduced Speed for Routing Emergency Calling Service: You acknowledge and understand that there is a greater
possibility of network congestion and/or reduced speed in the routing of an Emergency Calling Service communication made using your GNS
Equipment as compared to traditional 911 to access Emergency Calling Service dialing.  GNS’s system is configured in most instances to send the
automated number information: However, the phone system routes the traffic to the PSAP and the PSAP itself must be able to receive the information
and pass it along properly, and they are not yet always technically capable of doing so.  You acknowledge and understand that PSAP and
emergency personnel may not be able to identify your phone number to return your call.  H. Automated Location Identification: It may not be possible
to transmit identification of an address that you have listed to the Public Safety Answering Point (PSAP) if you move the GNS or Customer Equipment
to a location that is not supported by our network or if we have determined and provided to you in advance in writing (fax, email or letter) that this
service is not available.  If this is the case local personnel will NOT have this information.  You acknowledge and understand that PSAP and
emergency personnel will not be able to find your location if the call is unable to be completed, is dropped or disconnected, if you are unable to
speak to tell them your location and/or if the Service is not operational for any reason. I. Alternative Emergency Calling Service Arrangements You
acknowledge that GNS does not offer primary line or lifeline services.  You should always have an alternative means of accessing traditional E911
services.

II. CONSULTING & TECHNOLOGY MANAGEMENT     GNS may provide consulting and technology management services in the areas of internet
security, internet access, data and telecommunications. These services include, but are not limited too, vendor contract negotiations, network
management, technology troubleshooting, system efficiency management, maintaining network diagrams and ongoing technology assessments.  
These services are limited in scope and additional charges may apply.

IV. NETWORK MONITORING     GNS may provide network monitoring services for designated routers and switches.  Monitoring service provides
information on network problems, but does not fix them. Network repair is Client’s responsibility if you do not have a GNS Managed Service Provider
(MSP) Program. You may request repair from GNS based on time and materials.  Deep Network Monitoring (port by port analysis) and some standard
network monitoring may require a dedicated server and a monthly subscriptions per port monitored.  In addition to traffic reporting, GNS provides a
firewall that adheres to best practice standards in preventing unauthorized access to VoIP systems attached to a GNS provided firewall.

V. MANAGED INTERNET SECURITY     GNS will provide Managed Security Services for voice services through GNS owned and managed
equipment. Client understands and agrees this is required to prevent unauthorized access to client’s network and systems and to protect GNS
systems from unauthorized access through client’s network. Client understands that the provided equipment is only for the purpose of protecting
unauthorized access to GNS voice services. A separate agreement is required if client would like full protection for the entire network for voice and
data services. Client further understands that if voice services are used with no managed security or with another managed security device not
provided by and managed by GNS, Client assumes all risk associated with any breach and will pay all cost associated with any breach or
unauthorized access to include usage, fines and penalties.

VI. THIRD PART SERVICES     Client understands and acknowledges that GNS may provide third party billing on GNS invoices as a convenience for
Client.  GNS has no liability for these services. GNS provides no warranties, service guarantees or service level agreements for any third party
product or a product or service not owned and operated by GNS.

VII. SERVICE A. Term Service is offered on a contract term basis that begins on the date GNS activates your account, or service is installed, or when
you achieve 50% of your contract monthly recurring billing (the “Activation Date”), whichever is later, and ends on the day before the same date
according to the contract term. The service install date applies individually to each service or equipment ordered during this agreement. If you elect a
co-terminous agreement with equipment rental included, your contract will end 36 months after you reach 50% of your contract or committed monthly
billing. Subsequent terms of this Agreement automatically renew on an annual basis at the same rates without further action by you unless you give
GNS written notice of non-renewal at least ninety [90] days before the end of the term in which the notice is given.  You are purchasing the Service
for the full term, meaning that if you terminate Service before the end of a term you will be billed termination charges, including without limitation
unbilled charges, discounts provided and applicable disconnect fee, all of which immediately become due and payable.  Expiration of the term or
termination of Service does not excuse the Customer from paying all unpaid, accrued charges due in relation to the Agreement. B. Service
Guarantee GNS offers a 30-day guarantee.  Under terms of the Guarantee, you may switch back to your previous provider and avoid the normal
early termination penalties for breaking your term agreement.  GNS reserves the right to terminate or revoke Guarantee at any time, without prior
notice.  Customer must cancel service within 30 days of the Activation Date.  Equipment must be returned within 10 business days.  Customer is
responsible for all charges accumulated including overage, international traffic and directory assistance.  C. International Calling is restricted by
default.  If you request international calling capabilities you also agree to pay all charges generated, whether by you or by an unauthorized individual
or individuals, no matter how the call was generated on your lines or account.  If your account is hacked or compromised, all calling will be shut down
and will not be reactivated until the charges for International calls are paid.  D. Cancellations may take up to forty-five (45) business days.  Any usage
after contacting GNS is Customers responsibility.  Customer may not port away a new phone number (DID) if Customer cancels within thirty days.  All
returned equipment must be in the original packaging with the UPC or bar code intact.  All components manuals and registration card(s) must be
included or additional charges will apply.  Equipment must be returned with a valid return authorization number obtained from GNS Customer Care.  
Customer is responsible for the cost of return shipping of equipment.  If Equipment is not returned in the above condition then Customer is
responsible for payment in full of said equipment replacement costs.  E. Normal Business Use of Service and Device If you have subscribed to GNS’s
VoIP Business Plan, the Service and Device are provided to you as a normal business user.  This means that you are not to resell or transfer the
service to any other person for any purpose.  You agree that the GNS VoIP unlimited usage Business Plan does not confer the right to use the
service for auto-dialing, continuous or extensive call forwarding, telemarketing, call centers or fax broadcasting. GNS reserves the right to
immediately terminate or modify the service. F. Notice of Rate Changes GNS may change the prices and charges for the Services from time to time
especially if regulatory, network access cost, local, county, state or federal charges and/or taxes increase or become applicable.  We may decrease
prices without providing advance notice.  Changes to any other rates, charges, or terms or conditions in the Agreement will be published at www.
gnsinc.net/terms_conditions and will be incorporated into this Agreement. G. Rounding Policy for billing purposes, the length of each call is rounded.  
If the computed charge for a call includes a fraction of a cent, the fraction is rounded up to the nearest whole cent.  If the computed charges for taxes
and surcharges include a fraction of a cent, the fraction is rounded up to the nearest whole cent.  H. Calls to International Mobile Telephones;
International Special Services Calls GNS’s rates for international calls are the rates charged for calls to landline telephones.  Calls to international
mobile telephones are charged a higher rate than calls to landline telephones.  The rates you will be charged are set forth in the calling plan rate
tables.  I. Timing of Calls Timing of metered calls begins when the called party or an automated answering device (such as an answering machine or
a facsimile machine) answers the call, and ends when one of the parties disconnects from the call.  However, some foreign carriers (with whom GNS
must interconnect in order to terminate calls to foreign countries) designate a call as “answered” when there are a certain number of rings, and will
charge GNS for a completed call.  In these situations, GNS will charge for the call. J. Use of Service and Device by Customers Outside the United
States While we encourage use of the Service within the United States to other countries., GNS does not presently offer or support the Service to
customers located in other countries.  You are liable for any and all use of the Service and/or Device by any person making use of the Service or
Device provided to you.  K. Loss of Service Due to Power Failure The Service does not function without power.  Should there be an interruption in the
power supply, the Service will not function until power is restored.  A power failure or disruption may require you to reset or reconfigure equipment
before using the Service. L. Copyright / Trademark / Unauthorized Usage of Device, Firmware or Software The Service and Device and any firmware
or software used to provide the Service or provided to Customer in conjunction with providing the Service, or embedded in the Device, and all
Services, information, documents and materials on GNS’s website(s) are protected by trademark, copyright or other intellectual property laws and
international treaty provisions.  All websites, corporate names, service marks, trademarks, trade manes, logos and domain names (collectively
“marks”) of GNS are and shall remain the exclusive property of GNS.  If you decide to use the Service through an interface device not provided by
GNS, you agree to indemnify and hold harmless GNS against any and all liability arising out of your use of such interface device with the Service. M.
Tampering with a GNS Device You agree not to change the electronic serial number or equipment identifier of a GNS Device, or to perform a factory
reset of a GNS Device, without express permission from GNS,  GNS reserves the right to terminate your Service should you tamper with a GNS
Device, leaving you responsible for the full term’s charges including without limitation unbilled charges, which immediately become due and payable.
N. Theft of Service You agree to notify GNS immediately, in writing, by electronic mail or by calling the GNS customer support line, if a GNS Device is
stolen or if you become aware at any time that your Service is being stolen, hacked or used fraudulently.  When you call or write, you must provide
your account number and a detailed description of the circumstances of the Device theft or fraudulent use of Service. Failure to do so in a timely
manner may result in the termination of your Service and additional charges to you.  You will be liable for all use of the Service using a Device stolen
from you and any and all stolen Service or fraudulent use of the Service.  Notwithstanding anything herein to the contrary, credits will not be issued
for charges resulting from fraud that arises out of third parties hacking into your equipment or the internet.  This includes, but is not limited to, modem
hijacking, wireless hijacking or other fraud arising out of a failure of your internal/corporate procedures. GNS will not issue credit for invoiced charges
for fraudulent use resulting from your negligent or willful acts or those of an authorized user of your service.  O. Number Transfer on Service
Termination GNS may, solely at GNS’s discretion, release the telephone number that was ported to GNS by you and used in connection with your
Service provisioned by GNS to your new service provider, if such new service provider is able to accept such number, upon you termination of the
Service, and provided (i) you account has been terminated; (ii) your GNS account is completely current including payment for all charges and
applicable disconnect fees; and (iii) you request the transfer upon terminating your account.  If you transfer your number and do not pay all past due
charges, termination charges and term credits or discounts provided, you authorize GNS to re-obtain your number(s) until the full balance is paid.  P.
Service Distinctions You acknowledge and understand that the Service is not a telephone service. Important distinctions exist between telephone
service and the enhanced Service offering provided by GNS.  The Service is subject to different regulatory treatment than phone service.  This
treatment may limit or otherwise affect your rights of redress before regulatory agencies. Q. Collect Call and Operator Services GNS does not offer
collect call or operator services.  R. International Services  1. Foreign Carrier Restrictions. Foreign carriers or regulatory agencies may impose
certain limitations. Or restrictions that may limit your ability use the GNS services. 2. Foreign Carrier Acts or Omissions. a. GNS is not liable for acts or
omissions of other carriers or foreign telecommunications administrations. b. International calls are priced on the basis of the country and city codes
dialed by you. GNS is not liable for refunds or damages if those calls do not terminate in the country, city or area codes associated with the called
number. S. Surcharges In addition to surcharges that may be found in the applicable Calling Plan, GNS may adjust its rates and charges or impose
additional rates and charges to recover amounts it is required or permitted by governmental authorities to collect from others or pay to others in
support of statutory or regulatory programs. T. Taxes 1. All taxes, tax-like charges, and tax-related surcharges are referred to collectively as “Tax
(es).” GNS may elect to impose and collect such Taxes, unless otherwise constrained by court order or direction. 2. You agree to pay all Taxes
imposed, If GNS has collected Taxes and a challenged Tax is found to have been invalid and unenforceable, GNS, in its sole discretion, will either
reduce service rates for a fixed period of time in the future in order to flow-through to customers an amount equivalent to the amounts collected, or it
will credit or refund such amounts to affected customers (less its reasonable administrative costs). 3. If you provide GNS with a duly authorized tax
exemption certificate, GNS will exempt you, effective on the date GNS, receives the certificate.

VIII. RESTRICTIONS ON THE USE OF SERVICE  A. GNS offers its services subject to availability of facilities, limitations of service offerings, and the
provisions of this Agreement. B.  Services provided by GNS under the Agreement will not be used; (1) for any unlawful purpose; (2) for making
telephone calls that use automatic dialing devices and/or terminate into electronic information services, pay-per-call services, or other domestic or
international audio text services; (3) for business usage under a residential Service plan, (4) for extensive call forwarding, (5) high volume
telemarketing (including, without limitation, inbound/outbound call centers, charitable or political solicitation or polling), (6) fax or voicemail
broadcasting or blasting for services with unlimited local and long distance calling plans. C. GNS may (1) deny, for any lawful reason, your request for
service, or (2) limit or allocate the facilities available to or used by any Service, if necessary, to manage its network in an efficient manner or (3)
immediately suspend, disconnect or modify customer’s use of service plans. D. GNS may, without notice (consistent with governing laws or
regulations), block traffic to or from specific countries, county codes, cities, city codes, local telephone exchanges (“NXX exchanges”), individual
telephone stations, groups or ranges of individual telephone stations, or calls using certain customer authorization codes, whenever GNS deems it
necessary to take such action to prevent (1) the unlawful use of service; (2) nonpayment for service; (3) the use of service in violation of this
Agreement, or (4) network blockage or the degradation of service furnished to you or other customers.

IX. PAYMENT OBLIGATIONS A. GNS will invoice all charges on a monthly basis, in advance, including but not limited to: activation fees and monthly
Service fees, advanced feature charges, equipment purchases and shipping and handling charges.  Any charges not included in your rate plan and
any additional usage charges are billed after each billing period.  If GNS changes its rates, recurring monthly charges affected by such change will be
assessed at the new rate for the full billing period during which the new recurring charge rate became effective.  Customer accepts a $1.95 monthly
charge on each invoice with new charges less than $10.00. GNS will provide Customer with 30 day advance notification of rate and fee modifications
via an invoice note, letter or at www.gnsinc.net. B. GNS may terminate your Service at any time in its sole discretion, or in case of any non-payment of
account charges. Termination of Service for declined or expired card, or reversed charges or non-payment leaves you fully liable to GNS for all
charges accrued before termination and for all costs incurred by GNS in collecting such amounts, such as (but not limited to) collection costs and
attorney’s fees. C. You are responsible for payment of all charges for services furnished to you and anyone authorized by you to use your service.  
This responsibility is not changed by virtue of any use, misuse, or abuse of you service undertaken or caused by third parties. D. You must promptly
notify GNS of any change in your invoicing address or, if applicable, in the credit card or bank account used for payment.  You should notify the GNS
Customer Care Department by e-mailing GNS at the following address:  accounting@gnsinc.net E. GNS will invoice Customer for Services on a
monthly basis in advance and all payments are due and payable by Customer without demand or set off within twenty-one (21) days from the invoice
date (the “Due Date”). Amounts not paid within twenty-four (21) days of the invoice date will be considered past due.  If you make any late payments,
and we bill you for Services, we will charge you a late fee of up to 3% or $8.00, whichever is greater.  Late fees apply to that period’s charges and
any outstanding charges and late payment charges that remain unpaid at the time. F. If GNS becomes concerned at any time about your ability to
pay for services, GNS may require that you pay its charges within a specified number of days and that you make such payments in cash or the
equivalent of cash. G. If GNS hires a collection agency to collect, or attempt to collect, any charges owed GNS, you will be liable to GNS for an
additional payment equal to 35% of the charges owed.  If GNS incurs any fees or expenses, including attorneys’ fees, in collecting, or attempting to
collect, any charges owed GNS other than by hiring a collection agency, you will be liable to GNS for the payment of all such fees and expenses
reasonably incurred. H.  If billing systems or other support is not available for a service, feature, surcharge, tax or other charge element at the time of
service provision, GNS will bill for that service, feature, surcharge, or other charge element as soon as it is capable of doing so. I. No Credit
Allowances for Interruption of Service.  You acknowledge and agree that the Service is provided “as is.”  Credit allowances for interruption of Service,
including international calling services, will not be provided.

X. CANCELLATION OF SERVICE A. By the Customer 1. If you cancel your Service 30 days after your contract signature date and before the end of
your service term, you will be responsible for all monthly recurring costs on the agreement for the remainder of your term agreement plus all
equipment or service discounts and credits. 2. If you cancel your Service with GNS, you will not be able to use the GNS Equipment or make and
receive calls. 3. Cancellation requires 90 days notice via mail, fax or email. During this time, you are responsible for all new and exiting invoices which
are due upon receipt.  Service interruption will occur on the 7th day without full payment. 3. GNS can waive some or all termination charges or
provide other concessions if done in conjunction with GNS ordering services for an alternate provider.  B. By GNS 1. GNS reserves the right to
discontinue furnishing services, cancel your account, and/or block your access to the GNS network, without incurring any liability, immediately and
without notice if GNS deems that such action is necessary to prevent or to protect against fraud or to otherwise protect GNS’s personnel, agents,
facilities, or services.  Without limitation, GNS may take such actions if: a. You refuse to furnish information or furnish false information that (i) is
essential for billing; or (ii) pertains to your credit worthiness, your past or current use of common carrier communications service, or your planned use
of such service; b. You indicate that you will not comply with a request for security for the payment for services; c. Your service usage charges
exceed established parameters based on your history of usage, which may indicate a likelihood of non-payment or possible fraud; d. You have been
given written notice by GNS of any past due amount (which remains unpaid, in whole or in part) for any of GNS’s or an affiliated carrier’s service to
which you either subscribe or had subscribed or used; e. You either refuse to pay when billed for service or indicate that you do not intend to pay for
service used; f. You use, or attempt to use, service with the intent to avoid the payment, either in whole or in part, of the charges for the service by (i)
using or attempting to use service by rearranging, tampering with, or making connections to service in an unauthorized manner; or (ii) using tricks,
schemes, false or invalid numbers, false credit devices, or other fraudulent means or devices; g. You act, or fail to act, in a manner that hinders or
frustrates any investigation by GNS or others having legal authority to investigate your legal obligations; h. Your telephone equipment fails to pass
back to GNS the appropriate signal to start and stop billing for a call; i.  You were previously provided with notice of breach of contract, took
corrective action, but thereafter engage in the same breach activity; or j.  You act in a manner that is threatening, obscene, harassing, or abusive to
GNS personnel. K. You act in violation of section V. C. above 2. GNS reserves the right to discontinue furnishing services, cancel your account,
and/or block your access to GNS network, without incurring any liability, immediately upon written notice to you if: a. Any invoice charges remain
outstanding and owed by you after the 21st day from the date of the invoice notifying you of the charges; or b. You fail to comply with a request by
GNS for security for the payment for services. 3. The discontinuance of service(s) by GNS pursuant to these provisions does not relieve you of any
obligation to pay GNS for charges due and owing for service(s) furnished.  Additionally, you will remain liable for all monthly recurring fees associated
with service through the end of your term agreement.

XI. LIABILITY A. GNS will not be liable for (i) any failure of performance due to causes beyond its control, including, but not limited to, acts of God,
fires, floods or other catastrophes; national emergencies, insurrections, riots or wars, acts of terrorism, strikes, lockouts, work stoppages or other
labor difficulties; and any law, order, regulation or other action of any governing authority or agency thereof; or (ii) delayed installation of GNS’s
facilities or commencement of service. B. With respect to any other factual allegation, legal claim, or dispute by you or by any others, for damages
associated with the ordering (including the reservation of any specific number for use with a service), installation (including delays thereof), provision,
termination, maintenance, repair, interruption, or restoration of any service or facilities offered by GNS, GNS’s liability, if any, will be limited as follows:
1. With respect to the attempts to route calls to public safety answering points or municipal emergency service providers, as described in Section II,
GNS’s liability, if any, will be limited to the lesser of: (a) the actual monetary damages incurred and proved by you as the direct result of GNS’s action,
or failure to act, in routing the call, or (b) the maximum sum of $1,000.00. 2. With respect to the provisioning of, or any error or omission in, data,
information, or content furnished in connection with any service provided by GNS, for example, Directory Assistance, GNS’s liability will be limited to
the lesser of: (a) the amount of actual money damages proven by you to have been incurred as the proximate result of your reliance on such data,
information, or content; or (b) a maximum of $100.00. 3. GNS shall not be liable for any delays or incompletion or costs or charges pursuant to a
delay or incompletion in local number portability (LNP). C. IN NO EVENT WILL GNS BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, INCIDENTAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE LOSS OR DAMAGE OF ANY KIND, INCLUDING LOST PROFITS WHETHER OR NOT GNS HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES BY REASON OF ANY ACT OR OMISSION IN ITS PERFORMANCE UNDER THIS
AGREEMENT. THIS SECTION SURVIVES TERMINATION OF THIS AGREEMENT. D. GNS will be indemnified, defended, and held harmless by you
against all claims of loss or damage arising from the use of service furnished by GNS, including: 1. Allegations or claims for libel, slander, invasion of
privacy, or infringement of copyright arising out of the material, data, information, or other content transmitted via GNS service; and 2. All other
allegations and claims arising out of any intentional act or omission by you or others authorized by you to use the service, in connection with any
service provided by GNS. E. GNS MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES ABOUT ITS SERVICES AND
DISCLAIMS ANY IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OR IMPLIED WARRANTIES OF MERCHANTABILITY OR
FITNESS FOR A PARTICULAR PURPOSE OR USE OR NONINFRINGEMENT. GNS DOES NOT AUTHORIZE ANYONE TO MAKE A WARRANTY ON
GNS’S BEHALF AND YOU MAY NOT RELY ON ANY STATEMENT OF WARRANTY AS A WARRANTY BY GNS. F. GNS will not be liable for any act or
omission of any other company or companies furnishing a portion of there service, or from any act or omission of a third party, including those
vendors participating in GNS offerings made to you, or for damages associated with service, or equipment that it does not furnish, or for damages
that result from the operation of customer provided systems, equipment, facilities or services that are interconnected with GNS services.

XII. MISCELLANEOUS PROVISIONS A. Entire Agreement.  These Terms and Condition constitute the entire Agreement between you and GNS, and
supersede any and all prior agreements, oral or written, concerning the subject matter.  If there is any inconsistency or conflict between the terms of
any calling plan, promotion, and/or authorized written communications you have received and the provisions of this Agreement, the provisions of this
Agreement will control. B. No Obligation to Assist in Switching to a Different Provider.  If you either voluntarily cancel your GNS account or if GNS
cancels your service for any reason set forth above, GNS will have no obligation whatsoever to assist you in any respect in switching from GNS to
another service provider. C. Assignment.  Customers may not modify or assign this Agreement.  In its sole discretion, GNS may assign this
Agreement.  D. No Waiver of Rights.  If either party fails to enforce any right or remedy under this Agreement, that does not waive the right or remedy
for any other breach or failure.  E. Binding Effect.  This Agreement is binding upon you and GNS and upon, respectively, your and GNS’s agents and
heirs.  F. Severability.  If any part or provision of this Agreement is finally determined to be invalid or unenforceable under applicable law by a court of
competent jurisdiction, then that part or provision will be ineffective only to the extent of such invalidity or unenforceability, without in any way affecting
the remaining parts or provisions of this Agreement. G. Governing Law.  This Agreement is governed by and construed under the laws of the State of
Michigan and applicable federal law, without regard to its choice of law principles.  This governing law provision applies no matter where you reside,
or where you use or pay for services. H. Survival.  Any liability or obligation of a party to the other party under the provisions of this Agreement, as
applicable, will, in each case, survive cancellation or termination of this Agreement. I. Heading of No force or Effect.  Headings in this Agreement are
for reference only and have no effect on the meaning of any provision.  J. Cost of Enforcement.  In the event of any legal action or proceeding
relating to the enforcement or interpretation of this Agreement, the prevailing party shall be entitled to receive from the non-prevailing party all cost
and expenses, including reasonable attorney’ fees and reasonable out-of-pocket litigation expenses and court costs, related to such action or
proceeding.  K. WAIVER OF JURY TRIAL. CUSTOMER ACKNOWLEDGES THAT THE RIGHT TO TRIAL BY JURY IS A CONSTITUTIONAL RIGHT,
BUT THAT THE SAME MAY BE WAIVED.  CUSTOMER AFTER CONSULTATION (OR HAVING HAD THE OPPORTUNITY TO CONSULT) WITH
COUNSEL OF ITS CHOICE, CUSTOMER HEREBY, AND GNS BY ITS ACCEPTANCE HEREOF, EACH WAIVES THE RIGHT OF A JURY TRIAL IN ANY
LAWSUIT, PROCEEDING, COUNTERCLAIM OR ANY OTHER LITIGATION PROCEEDINGS BASED UPON OR ARISING OUT OF THIS AGREEMENT,
IT BEING ACKNOWLEDGED AND AGREED THAT ANY ISSUES OF FACT IN ANY SUCH ACTION ARE MORE APPROPRIATELY DETERMINED BY
THE COURTS. THESE PROVISIONS SHALL BE SUBJECT TO NO EXCEPTIONS.  NO PARTY HAS IN ANY WAY AGREED WITH OR REPRESENTED
TO ANY OTHER PARTY THAT THE PROVISIONS OF THIS PARAGRAPH WILL NOT BE FULLY ENFORCED IN ALL INSTANCES.  FURTHER,
CUSTOMER HEREBY CONSENTS AND SUBJECTS ITSELF TO THE JURISDICTION OF THE COURTS OF THE STATE OF MICHIGAN AND,
WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, TO THE VENUE OF OAKLAND COUNTY.  L. Notices.  Any notices, demands or
requests required or permitted to be given hereunder must be in writing and shall be deemed to be given (i) when hand delivered, or (ii) one (1)
business day after delivery to FedEx or similar overnight service for next business day delivery, or (iii) three (3) days after deposit in the U.S. mail first
class postage prepaid, or (iv) when sent by facsimile, telecopier or electronic mail transmission during normal business hours (i.e. 8:30 a.m. to 5:00 p.
m., Eastern Time, Monday through Friday) if sender receives a successful transmission receipt and if such transmission is immediately followed by
any of the other methods for giving notice.  In all cases notice shall be addressed to the parties at their respective addresses.
